2.Price: The prices for spare parts delivered under the present Contract areFixed in US dollars and are understood CIF,me hiding the cost of marking and packing corresponding to the conditions of transportation of spare parts and specified in Annex No. 1 to the present Contract.

7. PAYMENT: according to the TERMS OF PAYMENT agreed uponbetween the Sellers and the Buyers and being an integral part of thepresent Contract.
8. The date of the Bill of Landing shall be considered under the date ofdelivery.
9. The quality of spare parts supplied under the present Contract shallcomply with the State Standards of the Russian Federation or withtechnical specifications of the Manufacturers.
10. The goods shall be considered as delivered by the Sellers and acceptedby the Buyers: as to quality - in accordance with the Quality Certificateissued by the Sellers; as to quantity - in accordance with the number ofpackages and the weigh Specified m the Bill of Lading.
11. Claims may be submitted in respect of quality not later than six monthsand m respect of quantity not later than three months from the date ofdelivery.
Claims shall state the denomination and quantity of goods against which they are submitted, their subject and grounds and the Buyers* specific demands. Claims will be sent by registered mail with enclosure of all pertinent documents, such as: Claim Reports, transport documents, Certificates of Quantity and in case of short-shipped contents - Packing Lists.
12. Should any circumstances prevent either Party from wholly or partiallymeeting its obligations under the present Contract, namely: fire, naturalcalamity, act of war, military operations of any nature, blockade,prohibitions of export or import, or other circumstances beyond the controlof the Parties, the time stipulated for the fulfillment of these obligationsshall be extended accordingly for as long as the aforesaid circumstancesprevail.
In case these circumstances continue for more than six months, either Party may abandon performance of its obligations under the present Contract.
13. Any dispute, controversy or claim which may arise out of or inconnection with the present Contract, on the interpretation, execution,breach, termination or invalidity thereof, shall be settled by theInternational Commercial Arbitration Court at the Chamber of Commerceand Industry of the Russian Federation in accordance with its Rules.
14. Neither Party shall be entitled to transfer its rights and obligationsunder the present Contract to any third party without the written consentthereto of the other Party.
15. All taxes, fees, customs duties and expenses related to the obtaining ofexport or import licenses, and other similar expenses incurred under thepresent Contract or m connection with same on the territory of the member- states of the CIS. - by the Buyers. The Sellers shall in all cases payconsular fees.
16. Any amendments and supplements to the present Contract shall bevalid, provided they are made in writing and signed by the duly authorizedrepresentatives of both Parties.
The present Contract is made in two originals, each m Russian and English, both texts being authentic.

ON FINANCIAL SERVICES, a company incorporated under the laws ofSwitzerland, Canton of Geneva, Switzerland, represented by itsPresident Mr., hereinafter called «X», and representedby hereinafter called «Trustee», have concluded a contract asfollows.
1. SUBJECT OF THE CONTRACT
1. «X» will provide the Trustee with financial services including thetransfer of funds, foreign exchange transactions, cash management invarious currencies, audit services.
2. The Trustee entrusts to «X»:

Geneva, Switzerland or to the other accounts which shall be specified and scheduled by the Trustee for each amount collected.
